These Terms of Service ("Terms") govern your access to and use of the PixelRaft website, products, and services. By accessing or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use our services.
Acceptance of Terms
By accessing or using PixelRaft's website at pixelraft.com or any PixelRaft product or service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the services on behalf of a company or other organization, you are agreeing to these Terms for that entity and representing that you have the authority to bind that entity to these Terms.
Services Description
PixelRaft provides a suite of 3DGS-era spatial infrastructure products and tools, including but not limited to Dasein (3DGS asset hosting and delivery), CineScript, PhotonLab, NeuralPost, and Frism. The specific features, pricing, and availability of our products and services are subject to change at PixelRaft's discretion.
Account Registration
Certain features of our services may require you to register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
User Conduct
You agree not to: use our services for any unlawful purpose or in violation of any applicable laws; infringe or violate the intellectual property rights or other rights of PixelRaft or any third party; upload or transmit any content that is unlawful, harmful, threatening, defamatory, or objectionable; attempt to gain unauthorized access to our systems or networks; interfere with or disrupt the integrity or performance of our services; or use any automated means to access our services without our prior written consent.
Intellectual Property
PixelRaft retains all rights, title, and interest in and to our products, services, website, and all content, materials, and technology contained therein, including but not limited to all patents, copyrights, trademarks, and trade secrets. These Terms do not grant you any license or right to use any PixelRaft trademarks, service marks, or logos without prior written permission.
Content and Data
You retain all rights to content and data you submit, upload, or transmit through our services ("Your Content"). By submitting content through our services, you grant PixelRaft a non-exclusive, worldwide, royalty-free license to use, copy, store, and process Your Content solely for the purpose of providing and improving our services. You represent that you own or have the necessary rights to Your Content and that it does not infringe the rights of any third party.
Payment and Billing
Certain PixelRaft products and services are offered on a paid subscription or transaction basis. By selecting a paid service, you agree to pay all fees and charges associated with that service. All fees are non-refundable unless otherwise specified. We reserve the right to change our pricing at any time, with notice provided at least 30 days in advance for subscription services.
Confidentiality
Each party agrees to maintain the confidentiality of the other party's confidential information and to use such information solely for the purposes of these Terms. Confidential information does not include information that is publicly available, independently developed, or rightfully obtained from third parties. This obligation survives the termination of these Terms.
Warranties and Disclaimers
Our services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our services will be uninterrupted, error-free, or completely secure. You use our services at your own risk.
Limitation of Liability
To the maximum extent permitted by law, PixelRaft shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or other intangible losses, resulting from your access to or use of, or inability to access or use, our services. Our total liability for any claims arising from these Terms or our services shall not exceed the amount you paid us in the twelve months preceding the claim.
Indemnification
You agree to indemnify, defend, and hold harmless PixelRraft and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in connection with your violation of these Terms or your use of our services.
Termination
We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use our services will cease immediately. Provisions that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of Hong Kong Special Administrative Region, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Hong Kong.
Changes to Terms
We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our services after any revisions become effective, you agree to be bound by the revised terms.
Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving the parties' intent. If such modification is not possible, the provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.
